5. INDEMNITY
Purch aser agrees to defend , in d emn ify an d ho ld Irid ium and its Service Provider harmless with respect to
any claims or actions by any governmental entities or other third parties related to any violation of law with
use o f the Product o r Accessories, misuse o f th e Pro d uct o r Accessories under th ese Terms an d Cond itio ns,
or any other violation of these Terms and Conditions and further agrees to pay all costs, damages, fines and
other amounts incurred by Iridium, or on Iridium's behalf, in the defense of any such claims or actions. Airtime
charg es remain applicable fo r an y and all misuse o f the Pro duct o r Accesso ries.
Failure to comply with these Terms and Conditions, including Limitations and Conditions of Use, will void the
LIMIT E D WARRA NT Y and Iridium reserves th e rig ht to termin a te Iridium's service at an y time.
6. SOFTWARE LICENSE
Th e following terms govern Purch aser's access an d use o f th e Irid ium o r Iridium-s upplied software ("So ft-
ware") contained o n the Pro d uct o r Accessories .
License. Conditioned upon compliance with these Terms and Conditions, Iridium grants to Purchaser a
n on exclusive and n ontransfera ble license to use fo r Purch aser's in ternal purp oses the Software an d the
Documentation. "Documentation" means written information (whether contained in user or technical
man uals , training materials , specificatio ns o r o th erwise ) p ertainin g to the Softwa re and made available by
Iridium with the Software in any manner. Purchaser shall use the Software solely as embedded in (or, if
downloaded, as provided via download), for execution on, and for communication via the Iridium network.
No other licenses are granted by implication, estoppel or otherwise.
General Limitations. This is a license, not a transfer of title, to the Software and Documentation, and
Iridium retains ownersh ip o f all co pies o f th e Softwa re an d Do cumentation . Purchaser acknowledges th at
the Software and Documentation contain trade secrets of Iridium or its suppliers or licensors, including but
not limited to the specific internal design and structure of individual programs and associated interface
in forma tio n . Except as otherwis e exp ressly pro vided un der the Agree men t, Purch aser sh all h ave n o righ t,
and Purch aser sp ecifically agrees n o t to :
i. transfer, assign or sublicense its license rights to any other person or entity (other than in compliance with
any Iridium relicensing/transfer policy then in force), or use the Software on unauthorized or secondhand
Iridium eq uipmen t, and Purchaser ackn o wled ges that an y attemp ted transfer, assig nment, sublicense o r
use shall be void;
ii. make error corrections to or otherwise modify or adapt the Software or create derivative works based upon
the Software, or permit third parties to do the same;
iii. reverse eng ineer o r d eco mpile, decryp t, disasse mb le o r oth erwise reduce th e Software to human -reada ble
form, except to the extent otherwise expressly permitted under applicable law notwithstanding this
restriction;
iv. use or permit the Software to be on a service bureau or time sharing basis or otherwise, without the express
written authorization of Iridium; or disclose, provide, or otherwise make available trade secrets contained
within the Software and Documentation in any form to any third party without the prior written consent of
Iridium. Purch aser shall imp lemen t reaso nable security measures to protect such trade secrets.
To the extent required by law, and at Purchaser's written request, Iridium shall provide Purchaser with the
interface information needed to achieve interoperability between the Software and another independently
created program, on payment of Iridium's applicable fee, if any. Purchaser shall observe strict obligations
of confidentiality with respect to such information and shall use such information in compliance with any
applicable terms and conditions upon which Iridium makes such information available.
