SYNOLOGYDOESNOTACCEPTLIABILITYBEYONDTHEREMEDIESPROVIDEDFORIN
THISLIMITEDWARRANTYORFORSPECIAL,INDIRECT,CONSEQUENTIALORINCIDENTAL
DAMAGES,INCLUDING,WITHOUTLIMITATION,ANYLIABILITYFORTHIRD-PARTYCLAIMS
AGAINSTYOUFORDAMAGES,FORPRODUCTSNOTBEINGAVAILABLEFORUSE,ORFOR
LOSTDATAORLOSTSOFTWARE.SYNOLOGY'SLIABILITYSHALLNOTEXCEEDTHEAMOUNT
YOUPAIDFORTHEPRODUCTTHATISTHESUBJECTOFACLAIM.THISISTHEMAXIMUM
AMOUNTFORWHICHSYNOLOGYISRESPONSIBLE.
SYNOLOGYINC.PRODUCTSARENOTINTENDEDFORUSEINMEDICAL,LIFESAVING,OR
LIFESUSTAININGAPPLICATIONS.
DISPUTE RESOLUTION
Forthepurposesofthisprovision,theterm"Dispute"meansanydispute,controversy,orclaimarising
outoforrelatingto(i)thisAgreement,itsinterpretation,orthebreach,termination,applicabilityor
validitythereof,(ii)therelatedorderfor,purchase,delivery,receiptoruseofanyproductorservice
fromSynology,oriii)anyotherdisputearisingoutoforrelatingtotherelationshipbetweenYouand
Synology;theterm"Synology"meansSynology,Inc,itsparents,subsidiaries,affiliates,directors,
officers,employees,beneficiaries,agents,assigns,componentsuppliers(bothhardwareand
software),and/oranythirdpartywhoprovidesproductsorservicespurchasedfromordistributed
bySynology;andtheterm"You"meanstheownerorpurchaseroftheSynologyproduct,orthosein
privitywithyou,suchasfamilymembersorbeneficiaries.ForUScustomers,youandSynologyagree
thatanyDisputebetweenYouandSynologywillberesolvedexclusivelyandfinallybyarbitrationunder
thecurrentcommercialrulesoftheAmericanArbitrationAssociation,exceptasotherwiseprovided
below.Thearbitrationwillbeconductedbeforeasinglearbitrator,andwillbelimitedsolelytothe
disputebetweenYouandSynology.Thearbitration,oranyportionofit,willnotbeconsolidatedwith
anyotherarbitrationandwillnotbeconductedonaclass-wideorclassactionbasis.Thearbitration
shallbeheldinKingCounty,WashingtonState,UnitedStatesofAmericabysubmissionofdocuments,
bytelephone,onlineorinpersonasdeterminedbythearbitratorattherequestoftheparties.The
prevailingpartyinanyU.S.ornon-U.S.arbitrationorotherlegalactionshallreceiveallcostsand
reasonableattorneys'fees,includinganyarbitrationfeepaidbytheprevailingparty.Anydecision
renderedinsucharbitrationproceedingswillbefinalandbindingontheparties,andjudgmentmay
beenteredthereoninanycourtofcompetentjurisdiction.Youunderstandthat,intheabsenceofthis
provision,YouwouldhavehadarighttolitigateDisputesthroughacourt,includingtherighttolitigate
claimsonaclass-wideorclass-actionbasis,andthatYouhaveexpresslyandknowinglywaived
thoserightsandagreedtoresolveanydisputesthroughbindingarbitrationinaccordancewiththe
provisionsofthisparagraph.Fornon-UScustomers,anyDisputeshallbefinallyresolvedbyarbitration
conductedbythreeneutralarbitratorsinaccordancewiththeproceduresoftheR.O.C.Arbitration
Lawandrelatedenforcementrules.ThearbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,andthe
arbitrationproceedingsshallbeconductedinEnglishor,ifbothpartiessoagree,inMandarinChinese.
Thearbitrationawardshallbefinalandbindingonthepartiesandmaybeenforcedinanycourthaving
jurisdiction.
REVISIONS
SynologyreservesallrightstoreviseorupdateitsProducts,otherproducts,software,orrelated
documentationwithoutfurthernotice.
SynologyInc.reservestherighttorevisethispublicationandtomakechangesinthecontenthereof
withouttheobligationtonotifyanypersonofsuchrevisionorchanges.
