FORCE MAJEURE
Neither Party shall be liable for any loss or damage of any nature incurred as a result of any
failures or delays in performance (other than payment obligations) due to any cause or
circumstances beyond its reasonable control and without the negligence of the non-
performing Party.
GOVERNING LAW, JURISDICTION
These Terms and Conditions shall be governed by and construed under and in accordance
with the laws of the State of New York without reference to conflict of laws principles. Any
dispute related to or arising from this Agreement shall be subject to the sole and exclusive
jurisdiction of the state or federal Courts sitting in New York, New York and both parties
hereby consent to such jurisdiction and venue.
SEVERABILITY
If any provision of these Terms and Conditions is determined by a court of competent
jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not
invalidate or render unenforceable the entire Terms and Conditions but rather the Terms
and Conditions shall be construed as if not containing the particular invalid or
unenforceable provision and the rights and obligations of the Parties shall be construed
and enforced accordingly.
NOTICES
All notices hereunder shall be given in writing.
WAIVER
No delay or failure of any party to exercise any right provided herein shall in any way affect
its right to enforce that right or any right under these Terms and Conditions at a later time.
No waiver shall be effective unless in writing and signed by the party against whom such
waiver is sought to be enforced.
