9. C ompliance w ith A pplicable L aws. L icensee m ust c omply w ith a ll a pplicable l aws a nd r egulations
relating t o t he u se o f t he P roduct. I f L icensee i ntends t o e xport ( or r eexport), d irectly o r i ndirectly,
the P roduct s upplied h ereunder, i t i s L icensee's r esponsibility t o a ssure c ompliance w ith U .S. a nd a ny
other a pplicable g overnmental e xport c ontrol l aws a nd, i f a ppropriate, t o s ecure a ny r equired e xport
licenses o r a pprovals i n L icensee's o wn n ame. L icensee i s a lso r esponsible f or t he a ccuracy a nd
completeness o f a ny i nformation o r c ertification L icensee p rovides f or p urposes o f e xport c ontrol
compliance.
10. F orce M ajeure. L icensor s hall n ot b e r esponsible f or f ailures t o f ulfill a ny o bligations u nder t his
EULA, o r a ny o ther f ailure o f t he P roduct, d ue t o c auses b eyond i ts c ontrol.
11. A ssignment. L icensee m ay n ot a ssign o r o therwise t ransfer b y o peration o f l aw o r o therwise t his
EULA o r a ny r ights o r o bligations h erein e xcept i n t he c ase o f a m erger o r t he s ale o f a ll o r
substantially a ll o f L icensee's a ssets t o a nother e ntity. T his E ULA s hall b e b inding o n a nd s hall i nure t o
the b enefit o f t he p arties, t heir s uccessors a nd p ermitted a ssigns.
12. M iscellaneous. T his E ULA c onstitutes t he e ntire a greement b etween t he p arties c oncerning t he s ubject-­‐
matter h ereof. T his E ULA m ay b e a mended o nly b y a w ritten d ocument s igned b y b oth p arties. E xcept t o t he
extent a pplicable l aw, i f a ny, r equires o therwise, t his E ULA s hall b e g overned b y t he l aws o f V irginia, e xcluding i ts
conflict o f l aw p rovisions. U nless o therwise a greed i n w riting, a ll d isputes r elating t o t his E ULA ( excepting a ny
dispute r elating t o i ntellectual p roperty r ights) s hall b e s ubject t o f inal a nd b inding a rbitration i n W ashington,
D.C., u nder t he a uspices o f a n a rbitrator m utually a greed u pon b y t he L icensee a nd t he L icensor a nd f ailing w hich

extent n ecessary t o r ender i t e nforceable w ithout l osing i ts i ntent, o r s evered f rom t his E ULA i f n o s uch
