the c opyright i n t he P roduct t hat h as g ranted t he r ight a nd l icense t o t he L icensee p ursuant t o t his
Agreement.
2. L icensee G rant. L icensor g rants L icensee a n on-­‐exclusive a nd n on-­‐transferable l icense t o r eproduce
and u se f or p ersonal o r i nternal b usiness p urposes t he e xecutable c ode v ersion o f t he P roduct,
provided a ny c opy m ust c ontain a ll o f t he o riginal p roprietary n otices. T his l icense d oes n ot e ntitle
Licensee t o r eceive f rom t he L icensor h ard-­‐copy d ocumentation, t echnical s upport, t elephone
assistance o r e nhancements o r u pdates t o t he P roduct. L icensee m ay n ot c ustomize t he P roduct.
Licensee m ay n ot r edistribute t he P roduct.
3. R estrictions. E xcept a s o therwise e xpressly p ermitted i n t his A greement, L icensee m ay n ot: ( a)
modify o r c reate a ny d erivative w orks o f t he P roduct o r d ocumentation, i ncluding t ranslation o r
localization; ( b) d ecompile, d isassemble, r everse e ngineer, o r o therwise a ttempt t o d erive t he s ource
code f or t he P roduct ( except t o t he e xtent a pplicable l aws s pecifically p rohibit s uch r estriction); ( c)
redistribute, e ncumber, s ell, r ent, l ease, s ub-­‐license o r o therwise t ransfer r ights t o t he P roduct; ( d)
remove o r a lter a ny t rademark, l ogo, c opyright o r o ther p roprietary n otices, l egends, s ymbols o r
labels i n t he P roduct; o r ( e) p ublish a ny r esults o f b enchmark t ests r un o n t he P roduct t o a t hird p arty
without t he L icensor's p rior w ritten c onsent.
4. F ees. T he l icense f ee f or t he P roduct i s t he f ee c harged b y y our s upplier o f t he P roduct. L icensee i s
responsible f or a ny a nd a ll t axes.
5. T ermination. W ithout p rejudice t o a ny o ther r ights, L icensor m ay t erminate t his A greement i f
Licensee b reaches a ny o f i ts t erms a nd c onditions. O n t ermination, L icensee s hall d estroy a ll c opies o f
the P roduct.
6. P roprietary R ights. T itle, o wnership r ights a nd i ntellectual p roperty r ights i n t he P roduct s hall
remain i n t he L icensor a nd/or i ts s uppliers. L icensee a cknowledges s uch o wnership a nd i ntellectual
property r ights a nd w ill n ot t ake a ny a ction t o j eopardize, l imit o r i nterfere i n a ny m anner w ith t he
Licensor's o r i ts s uppliers' o wnership o f o r r ights w ith r espect t o t he P roduct. T he P roduct i s p rotected
by c opyright a nd o ther i ntellectual p roperty l aws a nd b y i nternational t reaties. T itle a nd r elated r ights
in t he c ontent a ccessed t hrough t he P roduct i s t he p roperty o f t he a pplicable c ontent o wner a nd i s
protected b y a pplicable l aw. T he l icense g ranted u nder t his A greement g ives L icensee n o r ights t o
such c ontent.
