condition o f t his A greement o r a ny b reach t hereof, i n a ny o ne i nstance, s hall n ot w aive s uch t erm o r
condition o r a ny s ubsequent b reach t hereof. T he p rovisions o f t his A greement w hich r equire o r
contemplate p erformance a fter t he e xpiration o r t ermination o f t his A greement s hall b e e nforceable
notwithstanding s aid e xpiration o r t ermination. L icensee m ay n ot a ssign o r o therwise t ransfer b y
operation o f l aw o r o therwise t his A greement o r a ny r ights o r o bligations h erein e xcept i n t he c ase o f
a m erger o r t he s ale o f a ll o r s ubstantially a ll o f L icensee's a ssets t o a nother e ntity. T his A greement
shall b e b inding o n a nd s hall e nure t o t he b enefit o f t he p arties, t heir s uccessors a nd p ermitted
assigns. N either p arty s hall b e i n d efault o r b e l iable f or a ny d elay, f ailure i n p erformance ( excepting

for a ny a nd a ll l egal f ees a nd c osts a ssociated t herewith. I f a ny L icensor p rofessional s ervices a re
being p rovided, t hen s uch p rofessional s ervices a re p rovided p ursuant t o t he t erms o f a s eparate
Professional S ervices A greement b etween L icensor a nd L icensee. T he p arties a cknowledge t hat s uch
services a re a cquired i ndependently o f t he P roduct l icensed h ereunder, a nd t hat p rovision o f s uch
