This End-U s er Licens e A greement ("EU LA ") is a legal agreement
betw een Y ou (the company, individual or entity w ho acquired the S oftw are
and any related H ardw are) and D igital S ecurity Controls , a divis ion of
Tyco S afety P roducts Canada Ltd. ("D S C"), the manufacturer of the integ-
rated s ecurity s ys tems and the developer of the s oftw are and any related
products or components ("H A RD WA RE") w hich Y ou acquired.
If the D S C s oftw are product ("S O F TWA RE P RO D U CT" or
"S O F TWA RE") is intended to be accompanied by H A RD WA RE, and is
N O T accompanied by new H A RD WA RE, Y ou may not us e, copy or ins tall
the S O F TWA RE P RO D U CT. The S O F TWA RE P RO D U CT includes com-
puter s oftw are, and may include as s ociated media, printed materials , and
"online" or electronic documentation.
A ny s oftw are provided along w ith the S O F TWA RE P RO D U CT that is
as s ociated w ith a s eparate end-us er licens e agreement is licens ed to Y ou
under the terms of that licens e agreement.
By ins talling, copying, dow nloading, s toring, acces s ing or otherw is e us ing
the S O F TWA RE P RO D U CT, Y ou agree unconditionally to be bound by the
terms of this EU LA , even if this EU LA is deemed to be a modification of
any previous arrangement or contract. If Y ou do not agree to the terms of
this EU LA , D S C is unw illing to licens e the S O F TWA RE P RO D U CT to
Y ou, and Y ou have no right to us e it.
SOFTWARE PRODUCT LICENSE
The S O F TWA RE P RO D U CT is protected by copyright law s and inter-
national copyright treaties , as w ell as other intellectual property law s and
treaties . The S O F TWA RE P RO D U CT is licens ed, not s old.
1. GR A N T OF LI C EN S E Th is EU LA gran ts Y ou th e follow in g righ ts :
S oftw are I n s tallation an d U s e - F or each licens e Y ou acquire, Y ou may
have only one copy of the S O F TWA RE P RO D U CT ins talled.
S torage/N etw ork U s e - The S O F TWA RE P RO D U CT may not be
ins talled, acces s ed, dis played, run, s hared or us ed concurrently on or from
different computers , including a w orks tation, terminal or other digital elec-
tronic device ("D evice"). In other w ords , if Y ou have s everal w ork-
s tations , Y ou w ill have to acquire a licens e for each w orks tation w here
the S O F TWA RE w ill be us ed.
Back u p C op y - Y ou may make back-up copies of the S O F TWA RE
P RO D U CT, but Y ou may only have one copy per licens e ins talled at any
given time. Y ou may us e the back- up copy s olely for archival purpos es .
Except as expres s ly provided in this EU LA , Y ou may not otherw is e make
copies of the S O F TWA RE P RO D U CT, including the printed materials
accompanying the S O F TWA RE.
2. D ES CRIP TIO N O F O TH ER RIG H TS A N D LIMITA TIO N S
Lim itation s on R evers e En gin eerin g, D ecom p ilation an d D is as s em b ly
- Y ou may not revers e engineer, decompile, or dis as s emble the
S O F TWA RE P RO D U CT, except and only to the extent that s uch activity
is expres s ly permitted by applicable law notw iths tanding this limitation.
Y ou may not make any changes or modifications to the S oftw are, w ithout
the w ritten permis s ion of an officer of D S C. Y ou may not remove any pro-
prietary notices , marks or labels from the S oftw are P roduct. Y ou s hall
ins titute reas onable meas ures to ens ure compliance w ith the terms and con-
ditions of this EU LA .
S ep aration of C om p on en ts - The S O F TWA RE P RO D U CT is licens ed as
a s ingle product. Its component parts may not be s eparated for us e on more
than one H A RD WA RE unit.
S in gle I N TEGR A TED PR OD U C T - If Y ou acquired this S O F TWA RE
w ith H A RD WA RE, then the S O F TWA RE P RO D U CT is licens ed w ith the
H A RD WA RE as a s ingle integrated product. In this cas e, the S O F TWA RE
P RO D U CT may only be us ed w ith the H A RD WA RE as s et forth in this
EU LA .
R en tal - Y ou may not rent, leas e or lend the S O F TWA RE P RO D U CT.
Y ou may not make it available to others or pos t it on a s erver or w eb s ite.
S oftw are Prod u ct Tran s fer - Y ou may trans fer all of Y our rights under
this EU LA only as part of a permanent s ale or trans fer of the
H A RD WA RE, provided Y ou retain no copies , Y ou trans fer all of the
S O F TWA RE P RO D U CT (including all component parts , the media and
printed materials , any upgrades and this EU LA ), and provided the recipient
agrees to the terms of this EU LA . If the S O F TWA RE P RO D U CT is an
upgrade, any trans fer mus t als o include all prior vers ions of the
S O F TWA RE P RO D U CT.
Term in ation - Without prejudice to any other rights , D S C may terminate
this EU LA if Y ou fail to comply w ith the terms and conditions of this
EU LA . In s uch event, Y ou mus t des troy all copies of the S O F TWA RE
P RO D U CT and all of its component parts .
Trad em ark s - This EU LA does not grant Y ou any rights in connection
w ith any trademarks or s ervice marks of D S C or its s uppliers .
3. C OPY R I GHT
A ll title and intellectual property rights in and to the S O F TWA RE
P RO D U CT (including but not limited to any images , photographs , and text
incorporated into the S O F TWA RE P RO D U CT), the accompanying printed
materials , and any copies of the S O F TWA RE P RO D U CT, are ow ned by
D S C or its s uppliers . Y ou may not copy the printed materials accom-
panying the S O F TWA RE P RO D U CT. A ll title and intellectual property
rights in and to the content w hich may be acces s ed through us e of the
S O F TWA RE P RO D U CT are the property of the res pective content ow ner
and may be protected by applicable copyright or other intellectual property
law s and treaties . This EU LA grants Y ou no rights to us e s uch content.
A ll rights not expres s ly granted under this EU LA are res erved by D S C and
its s uppliers .
EX P O RT RES TRICTIO N S - Y ou agree that Y ou w ill not export or re-
export the S O F TWA RE P RO D U CT to any country, pers on, or entity s ub-
ject to Canadian export res trictions .
CH O ICE O F LA W - This S oftw are Licens e A greement is governed by the
law s of the P rovince of O ntario, Canada.
A RBITRA TIO N - A ll dis putes aris ing in connection w ith this A greement
s hall be determined by final and binding arbitration in accordance w ith the
A rbitration A ct, and the parties agree to be bound by the arbitrator's
decis ion. The place of arbitration s hall be Toronto, Canada, and the lan-
guage of the arbitration s hall be Englis h.
