END-USER LICENSE AGREEMENT
THIS END-USER LICENSE AGREEMENT ("AGREEMENT") IS A BINDING LEGAL CONTRACT
BETWEEN YOU (EITHER AN INDIVIDUAL OR A LEGAL ENTITY), ON THE ONE HAND, AND
VICTOR COMPANY OF JAPAN, LIMITED ("JVC") AND ITS LICENSORS (INCLUDING THEIR
LICENSORS AND SUPPLIERS) ON THE OTHER HAND. BY USING THE DATA ("DATA") AND
SOFTWARE LICENSED UNDER THIS AGREEMENT (COLLECTIVELY, THE "PRODUCT"), YOU WILL
BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF
THIS AGREEMENT, JVC AND ITS LICENSORS ARE NOT WILLING TO LICENSE ANY RIGHT TO USE
OR ACCESS THE PRODUCT TO YOU.
The Product is provided for your personal, internal use only and not for resale or distribution to others. It is
protected by copyright and other intellectual property laws, and is subject to the terms and conditions of this
Agreement.

TERMS AND CONDITIONS
Personal Use Only. Subject to the terms and conditions of this Agreement, JVC and its licensors (including their
licensors and suppliers), as appropriate, hereby grant you a non-transferable, non-exclusive license to use the
Product together with JVC TBT Car Navigation Application Software for the solely personal, non-commercial
purposes for which you were licensed, and not for service bureau, time-sharing or other similar purposes.
You may only use the Product as described in this Agreement and with its accompanying documentation.
Accordingly, but subject to the restrictions set forth in the following paragraphs, you may copy the Data only
as necessary for your personal use to view and save the Data, provided that you do not remove any copyright
or other proprietary notices that are associated with the Product and do not modify the Product in any way. You
agree not to otherwise reproduce, copy, modify, decompile, disassemble or reverse engineer any portion of the
Product, and not to sublicense, loan, transfer, distribute or sell it in any form, in whole or in part and for any
purpose, except to the extent permitted by mandatory laws. Any software provided as part of the Product will
be in object code form only and any copy of such software shall be used only as a back-up, provided that the
primary and back-up copy may not be used concurrently. JVC and its licensors (including their licensors and
suppliers) reserve the right to upgrade, enhance, change or modify the Product at any time in its sole discretion
("Enhancements"). Any Enhancements made available to you, if any, will be subject to the terms of this
Agreement, except to the extent that conflicting or more restrictive provisions are provided in future agreements
relating to such Enhancements.
Restrictions. Except where you have been specifically licensed to do so by JVC, and without limiting the
preceding paragraph, you (a) may not use the Product with any products, systems, or applications installed
or otherwise connected to or in communication with vehicles, capable of vehicle navigation, positioning,
dispatch, real time route guidance, fleet management or similar applications; (b) may not use the Product with
or in communication with any positioning devices or any mobile or wireless-connected electronic or computer
devices, including without limitation cellular phones, palmtop and handheld computers, pagers, and personal
digital assistants or PDAs or any similar devices; and (c) shall maintain the Product in strict confidence and
shall not disclose it or make it available to any unauthorized third parties. Without limiting the foregoing, you
may only use the Data in the form delivered and it may not be subject to any further automated or systematic
processing. You may transfer the license and all copies of the Product to a third party, provided that (i) the
transferee agrees to comply with the terms and conditions of this Agreement and (ii) you irrevocably delete the
Product from your systems, if applicable. Except for the limited license granted in this Agreement, JVC and
its licensors (including their licensors and suppliers) retain all right, title and interest in the Product, all copies
thereof, and all proprietary rights in the Product, including copyrights, patents, trademarks and trade secret
rights.
